Giulio T. Bonifacio, CPA

Executive Chair and Director

Mr. Bonifacio has over 30 years of experience in senior executive roles in the mining industry in both the base and precious metals sector. Mr. Bonifacio was the Founder, President, Chief Executive Officer and Director of Nevada Copper from 2005 until his retirement in February 2018. Mr. Bonifacio led and directed every stage of advancement of the Pumpkin Hollow copper mine from exploration, development, permitting and construction.  Mr. Bonifacio is a Chartered Professional Accountant with considerable experience and knowledge of operations, capital markets and project finance while raising significant amounts of capital for projects of merit by way of project debt, offtake and equity.  During his 12 years at Nevada Copper Mr. Bonifacio successfully permitted both the underground and open pit operations at Pumpkin Hollow, which is the only permitted copper project of scale in the United States in the past 25 years. Additionally, Mr. Bonifacio led the initial construction phase, which included the completion of headframe, hoist and 1,900-foot-deep, 24-foot diameter concreted lined production sized shaft, all of which led to a shortened construction period at Pumpkin Hollow, now in production.

Mr. Bonifacio has held previous senior executive roles with Getty Resources Limited, TOTAL Energold Corp., an energy and gold producer and Vengold Inc., gold producer prior to founding Nevada Copper in 2005. Mr. Bonifacio was formerly President, Chief Executive Officer and Non-Executive Chair of Faraday Copper Corp. from May 2018 until April 2022.

Mr. Bonifacio is the Executive Chair of the Company and currently Chair of Nevgold Corp.

Joanne C. Freeze, P.Geo

President, CEO and Director

Joanne (Joey) C. Freeze is CEO and co-founder of Candente Copper Corp. Since entering the mineral exploration business in 1979, Ms. Freeze has managed exploration programs and evaluated projects for both junior and major international mining companies such as Queenstake Resources Ltd., Arequipa Resources Ltd., Mountain Province Mining Inc., Placer Dome Inc., Dia Met Minerals Corp., Hughes/ Lang Group and Utah Mines Ltd. (BHP).

Ms. Freeze lived and worked in Peru from 1994 to 1997 where she carried out both project generation work and property evaluations for Canadian and Peruvian companies. As a result of her experience in Peru, a partnership was formed with Peruvian geologist Ing. Fredy Huanqui (co-discoverer of the Pierina gold mine) and a new mineral exploration company was born. Candente Resource Corp. was established in 1997, which operated privately until going public on May 15, 2000. Since then Candente Resource Corp. has spun-out various assets to form two other companies, Candente Gold Corp. and Cobriza Metals Inc.. All three companies are listed on the TSX and the Candente companies are co-listed on the Lima stock exchange. Ms. Freeze is CEO of all three companies and President of Candente Gold Corp.

Ms. Freeze obtained a B.A. in Geography from the University of Western Ontario in 1978 and a B.Sc. in Geology from the University of British Columbia in 1981. She is a Fellow Member of the Geological Association of Canada and is registered with the Association of Professional Engineers and Geoscientists of British Columbia, Canada.

Sean I. Waller, P. Eng.

Key Advisor and Director

Mr. Waller is a retired  Professional Engineer with  35 years of International experience in mining project management, evaluation, design and operation, with a specific focus on large scale copper projects and gold projects. Mr. Waller was previously  a Senior Advisor with Wood Mining and Minerals (previously AMEC), a division of Wood PLC, a global engineering and construction firm.  Prior to joining Candente he was with AMEC in Vancouver where he held the positions of Vice President of Global Business Development and Senior Project Manager. While at AMEC, Mr. Waller managed the feasibility study for Nevsun's Bisha gold/copper mine in Eritrea and the front end engineering for Inmet's Cobre Panama project in Panama.

Prior to AMEC, Mr. Waller worked with SNC-Lavalin's Mining Division in management and senior technical roles. Mr. Waller also previously worked for Freeport-McMoran at its Grasberg copper operation in Indonesia. Mr. Waller is a member of the Canadian Institute of Mining, Metallurgy and Petroleum ("CIM").   He was President of the CIM in 2015 and a Member of the CIM Audit and Risk Committee from 2017 - 2021.  Mr. Waller previously served on the CIM National Executive Council as Vice-President of District 6 (British Columbia and Yukon).

Mr. Waller has a B.Sc. in Geology from the University of British Columbia in Vancouver and a Masters Degree in Mineral Process Engineering from The Montana School of Mines in Montana.

George Elliott, BA (Hons) LL.B

Independent Director

George Elliott has over 35 years of experience in legal affairs and corporate finance throughout a variety of industries. As an advisor to the AuRico Gold Board of Directors, Mr. Elliott was instrumental in the reorganization of Gammon Gold through the name change to AuRico previously this year. Prior to 2000, Mr. Elliott was Senior Counsel at the law firm Gowling Lafleur Henderson (now Gowlings). Since 2000 Mr. Elliott has held the roles of Chairman and CEO for Titanium Corporation Inc., Executive Vice President of MCAP Financial, which manages over $20 billion in mortgage investments for Canadian financial institutions, CEO of Augen Capital, and Chair of the Executive Committee of the PLM Group - Canada's fourth largest commercial printer, which was acquired by Transcontinental Printing for 250% of their market value.

George is currently also Chairman, CEO, and Director of Andor Mining, and is a Director of Esperanza Resources Corp., Medworxx Solutions Inc., and Urbana Corporation.

Andrés Milla C., M.A. Ec.

Mr. Milla joined Candente Copper in July 2009. He graduated from Universidad del Pacífico, Lima, Perú and has a Master in Economics from Boston University. He has over 15 years of experience in investment banking and capital market transactions, and has been an Associate with First Capital Partners, Peru since 2008. Mr. Milla is Currently President and CEO of Minera Kinacox S.A and h e was a member of the Board of the Lima Stock Exchange from 2006 until March 2008 and general manager of Credibolsa SAB, main broker agent of the Peruvian stock market, from 2006 to August 2008. Mr. Milla was also the Capital Markets Project Manager in the Finance Area of Banco de Crédito del Perú from 2000 to 2005.

Prior to this, he was a member of the Cabinet of Advisors of the Ministry of Economy and Finance of Peru and Head of Fixed Income of the Analysis Department of the Capital Market Division of Banco de Credito. Throughout his career he has participated in several prominent corporate finance operations in Peru, worth in excess of US$2 billion. As part of his involvement with the capital market of Perú, he has been also a Director of the Bolsa de Productos del Perú (Commodity Exchange in Peru) and Director of Cavali ICLV S.A., clearing and settlement institution of the Peruvian Stock Market.

Ms. Nicolau is the General Manager of Metals, Latin America, for Fortescue.  Ms. Nicolau is responsible for Fortescue’s South American minerals business including exploration, project development and other growth activities. 

Ms. Nicolau has been with Fortescue for over 10 years.  During this time, Ms. Nicolau has held a range of management positions across Australia and South America.  Ms. Nicolau is based in Buenos Aires, Argentina.

Miguel Inchaustegui

Independent Director

Luis Miguel Inchaustegui Zevallos was born in Lima, Peru and is a lawyer graduated from the University of Lima, with an MBA from the San Ignacio de Loyola University and completed Negotiation courses at the Kellogg School Management of Northwestern University.

Mr. Inchaustegui is a consultant on strategic issues, corporate affairs and sustainable development.  Miguel has held the position of Minister of Energy and Mines from August to November 2020, consultant to External Products and Services (PEC) of the Inter-American Development Bank from March to August 2020, Independent Director of Turmalina Metals Corp. during 2019 and 2020.  He also served as Vice Minister of Mines from May 2018 to April 2019 and as Vice President of Corporate Affairs and Sustainable Development of Gold Fields La Cima SA from April 2012 to September 2017.

Mr. Inchaustegui has more than 26 years of experience in the mining sector, during which he worked with several important mining companies (Barrick, Volcan Compañía Minera, Lumina Copper and Gold Fields La Cima).  Mr. Inchaustegui was also a member of the cabinet of advisers to the Prime Minister in 2002 and professor of Royal Rights at the Women's University of the Sacred Heart (UNIFE).
