Joanne C. Freeze, P.Geo

CEO and Director

Joanne (Joey) C. Freeze is CEO and co-founder of Candente Copper Corp. Since entering the mineral exploration business in 1979, Ms. Freeze has managed exploration programs and evaluated projects for both junior and major international mining companies such as Queenstake Resources Ltd., Arequipa Resources Ltd., Mountain Province Mining Inc., Placer Dome Inc., Dia Met Minerals Corp., Hughes/ Lang Group and Utah Mines Ltd. (BHP).

Ms. Freeze lived and worked in Peru from 1994 to 1997 where she carried out both project generation work and property evaluations for Canadian and Peruvian companies. As a result of her experience in Peru, a partnership was formed with Peruvian geologist Ing. Fredy Huanqui (co-discoverer of the Pierina gold mine) and a new mineral exploration company was born. Candente Resource Corp. was established in 1997, which operated privately until going public on May 15, 2000. Since then Candente Resource Corp. has spun-out various assets to form two other companies, Candente Gold Corp. and Cobriza Metals Inc.. All three companies are listed on the TSX and the Candente companies are co-listed on the Lima stock exchange. Ms. Freeze is CEO of all three companies and President of Candente Gold Corp.

Ms. Freeze obtained a B.A. in Geography from the University of Western Ontario in 1978 and a B.Sc. in Geology from the University of British Columbia in 1981. She is a Fellow Member of the Geological Association of Canada and is registered with the Association of Professional Engineers and Geoscientists of British Columbia, Canada.

Sean I. Waller, P. Eng.

Director

Mr. Waller is a registered Professional Engineer with 30 years of International experience in mining project management, evaluation, design and operation, with a specific focus on large scale copper projects and gold projects. Prior to joining Candente he was with AMEC Americas Limited Mining Division ("AMEC") in Vancouver where he held the positions of Vice President of Global Business Development and Senior Project Manager. While at AMEC, Mr. Waller managed the feasibility study for Nevsun's Bisha gold/copper mine in Eritrea and the front end engineering for Inmet's Cobre de Panama project in Panama.

Prior to AMEC, Mr. Waller worked with SNC-Lavalin's Mining Division in management and senior technical roles. Mr. Waller also previously worked for Freeport-McMoran at its Grasberg copper operation in Indonesia. Mr. Waller is a member of the Canadian Institute of Mining, Metallurgy and Petroleum ("CIM") where he is currently President. Mr. Waller previously served on the CIM National Executive Council as Vice-President of District 6 (British Columbia and Yukon).

Mr. Waller has a B.Sc. in Geology from the University of British Columbia in Vancouver and a Masters Degree in Mineral Process Engineering from The Montana School of Mines in Montana.

Michael Thicke, M.Sc., P.Geo.

VP Exploration and Director

Mr. Thicke has 30 years of global exploration experience for a variety of commodities and expertise exploring for porphyry copper systems. He has extensive experience in porphyry exploration throughout South America with Rio Algom (now BHP Billiton) and he was a member of the team that discovered the large scale Spence porphyry copper deposit. Mr Thicke and his fellow team members were awarded the prestigious Prospector of the Year Award by the Prospectors and Developers Association of Canada in 1998. The Spence deposit commenced production in 2006.

More recently, Mr. Thicke was a senior member of BHP Billiton's Global Porphyry Exploration group, leading teams for the exploration and evaluation of porphyry copper deposits.

Andrés Milla C., M.A. Ec.

Director

Mr. Milla joined Candente Copper in July 2009. He graduated from Universidad del Pacífico, Lima, Perú and has a Master in Economics from Boston University. He has over 15 years of experience in investment banking and capital market transactions, and has been an Associate with First Capital Partners, Peru since 2008. He was a member of the Board of the Lima Stock Exchange from 2006 until March 2008 and general manager of Credibolsa SAB, main broker agent of the Peruvian stock market, from 2006 to August 2008. Mr. Milla was also the Capital Markets Project Manager in the Finance Area of Banco de Crédito del Perú from 2000 to 2005.

Prior to this, he was a member of the Cabinet of Advisors of the Ministry of Economy and Finance of Peru and Head of Fixed Income of the Analysis Department of the Capital Market Division of Banco de Credito. Throughout his career he has participated in several prominent corporate finance operations in Peru, worth in excess of US$2 billion. As part of his involvement with the capital market of Perú, he has been also a Director of the Bolsa de Productos del Perú (Commodity Exchange in Peru) and Director of Cavali ICLV S.A., clearing and settlement institution of the Peruvian Stock Market.

John E. Black, B.Sc., M.Sc.

Independent Director

Mr. Black is an economic geologist with 30 years of global exploration experience. He received his Master's degree in Geology - Ore Deposits Exploration from Stanford University in 1988.

Most recently, as President & CEO of Antares Minerals, John progressed the Haquira copper project in Peru through a highly positive PEA and subsequent sale to a major copper producer, to the benefit of all of his stakeholders. Prior to his work with Antares, Mr. Black was Western Mining Corporation's Technical Exploration Manager for porphyry copper exploration in Chile and Perú, and Principal Geologist for Rio Tinto, Kennecott's parent corporation, exploring for porphyry copper deposits in northern Chile and Ecuador.

George Elliott, BA (Hons) LL.B

Independent Director and Chair

George Elliott has over 35 years of experience in legal affairs and corporate finance throughout a variety of industries. As an advisor to the AuRico Gold Board of Directors, Mr. Elliott was instrumental in the reorganization of Gammon Gold through the name change to AuRico previously this year. Prior to 2000, Mr. Elliott was Senior Counsel at the law firm Gowling Lafleur Henderson (now Gowlings). Since 2000 Mr. Elliott has held the roles of Chairman and CEO for Titanium Corporation Inc., Executive Vice President of MCAP Financial, which manages over $20 billion in mortgage investments for Canadian financial institutions, CEO of Augen Capital, and Chair of the Executive Committee of the PLM Group - Canada's fourth largest commercial printer, which was acquired by Transcontinental Printing for 250% of their market value.

George is currently also Chairman, CEO, and Director of Andor Mining, and is a Director of Esperanza Resources Corp., Medworxx Solutions Inc., and Urbana Corporation.

Paul H. Barry, MBA

Independent Director

Mr. Barry has over thirty years of management experience and has served in senior executive roles for several of the world's largest mining and energy companies.  Mr. Barry returned to the Board of Directors of Candente Copper Corp. as an Independente Director in March 2018, and previously had served as a Candente Copper Director from January, 2015 to February, 2017 and had resigned to join Hydro One Ltd.  (H: TSX) as Executive Vice President Strategy & Corporate Development.  During his tenure at Hydro One, Paul created and implemented the de novo strategic vision of Hydro One, transforming the company from a regional electric transmission and distribution crown corporation (100% owned by the Province of Ontario) to a fast-growing investor-owned integrated electric and natural gas utility with a global footprint.  Paul was responsible for originating and negotiating the U.S. $5.1 billion transformational acquisition of Avista Corporation (NYSE: AVA), the first major U.S. transaction by Hydro One.

 

 

Prior to that Paul was Chief Executive Officer and founding partner of Public Infrastructure Partners LLC, a strategic advisor and investor with leading private equity, infrastructure, and pension funds in the U.S., Canada, and Europe.  His prior executive leadership roles include Group Executive & President of the Duke Energy Corporation (DUK: NYSE) U.S. commercial and international business, Chief Development Officer, and Head of M&A. At Duke Energy, Paul was responsible for executing over $50 billion of strategic transactions that transformed the company into the largest electric utility in North America. He also served as CFO for Pepco Holdings, a Fortune 500 mid-Atlantic electric and gas utility based in Washington, D.C.

 

From 2011-2012, Paul served as CFO to Kinross Gold Corp. (K:TSX) during a period of unprecedented gold mining industry volatility.  He developed and executed significant balance sheet realignment and liquidity objectives on both parent and subsidiary levels through a comprehensive capital markets access initiative resulting in the raising of over U.S. $5.0 billion in new capital.  Paul also serves as Chairman of the Board of Directors at Candente Gold Corp (CDG: TSXV).

 

Mr. Barry received an MBA from Harvard Business School, where he also attended the Executive Program, and a Bachelor of Science, magna cum laude, in Finance from Northeastern University.
